Terms of Service

These Terms of Service govern your access to and use of the eLaw platform. By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and eLaw Platform, Inc. ("eLaw", "we", "us"). If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity.

2. Eligibility

The Service is intended for use by licensed legal professionals, law firms, in-house legal departments, and authorized support staff. You must be at least 18 years old and able to form a legally binding contract to register an account.

3. Accounts & Workspaces

When you register, you create a firm workspace. The first user becomes the firm administrator and may invite additional users ("Members") up to the seat limit of your plan. You are responsible for the activity of all Members in your workspace and for keeping login credentials confidential.

4. Subscription, Free Trial & Payment

Paid plans are billed monthly or annually in advance through Stripe. New customers are eligible for a 14-day free trial of the Professional plan. If you do not select a paid plan before the trial ends, your access to gated features will be downgraded.

All fees are non-refundable except as required by law. You authorize us to charge your payment method for recurring fees. We may change pricing on at least 30 days' notice; price changes take effect at the next renewal.

5. Permitted Use

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal legal work. You may not (a) resell or sublicense the Service, (b) reverse engineer it, (c) use it to build a competing product, or (d) circumvent usage limits.

6. Customer Data

"Customer Data" means documents, prompts, conversations, and other content you submit to the Service. You retain all rights to your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service.

We do not use Customer Data to train foundation models. Customer Data is logically isolated to your firm workspace.

7. AI Output & Not Legal Advice

The Service uses third-party large language models to generate text ("Output"). Output may contain inaccuracies, hallucinations, or outdated information. You are solely responsible for reviewing, verifying, and exercising professional judgment over any Output before relying on it.

eLaw is not a law firm and does not provide legal advice. No attorney-client relationship is formed by your use of the Service. Use of the Service does not satisfy your professional, ethical, or regulatory obligations as a lawyer.

8. Intellectual Property

The Service, including all software, designs, and documentation, is owned by eLaw and protected by intellectual property laws. As between you and us, you own Customer Data and Output generated from your Customer Data, subject to the rights of third-party model providers in their underlying models.

You may submit feedback or suggestions; we may use such feedback without restriction or compensation.

9. Confidentiality

Each party will protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Customer Data is your Confidential Information.

10. Suspension & Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, or security risk. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.

Upon termination, we will retain Customer Data for 30 days, after which it will be deleted from production systems. Backups follow our standard retention schedule.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend and indemnify eLaw against claims arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your reliance on Output.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration.

15. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by email at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance.
